　　6 Resolutions
 
　　Elective Resolutions
　　6.1 (a) Private companies only.
　　(b) Can be used for 5 purposes:
　　(i) dispense with holding AGM;
　　(ii) dispense with annual approval of accounts;
　　(iii) dispense with annual appointment of auditors;
　　(iv) reduce majority required to waive notice for EGM from 95% to 90%;
　　(v) disapply the 5 year maximum for a director’s authority to allot shares.
　　(c) Can be revoked by ordinary resolution.
 
　　Written Resolutions
　　6.2 (a) Private companies only.
　　(b) Enables the passing of any resolution by obtaining the signature of all members.
　　(c) Necessitates communication with auditors who must decide:
　　(i) whether it concerns them as auditors, and (if it does)
　　(ii) whether it should be discussed at a GM.
　　(d) It cannot be used to pass ordinary resolutions requiring special notice.
