　　4 Members rights
　　4.1 (a) Persons eligible: 2 or more members holding 10% of issued share capital with voting rights.
　　(b) Procedure: Signed requisition is sent to Company's registered office.
　　Directors give notice of EGM within 21 days.
　　Must hold EGM within 28 days of that notice.
　　(c) Outcome: Failure means members can call EGM
　　Members and Directors can also apply to Court to summon EGM.
　　Court can summon EGM if company cannot call a meeting in usual or appropriate
　　Members right to put a resolution on the agenda of an AGM
　　4.2 (a) Members can demand that an item be included in the agenda.
　　(b) Persons eligible: 100 members with average paid up share capital of  £100 or
　　Holding 5% of voting rights.
　　(c) Procedure: Signed requisition is sent to company's registered office 6 weeks before GM.
　　Deposit to cover general expenses is made.
　　Can use to require statement of  £1,000 words to be sent to all members
　　(d) Outcome: Failure to respond makes officers of company liable to fine.
　　Directors can apply to court to avoid compliance.
　　Access to Register of Members
　　4.3 In practice, a disgruntled member can obtain a copy of the Register of Members and contact the other members directly.
　　Voting
　　4.4 (a) A member's right to vote is usually determined by the Articles
　　Pender v Lushington
　　(b) Voting may be either by show of hands or by a poll
　　(c) Table A says that a poll may be demanded by:
　　(i) two members present or by proxy.
　　(ii) the chairman.
　　(d)  provides the most stringent requirements for demanding a poll. Individual company articles must not be more stringent.
　　(i) 5 or more members.
　　(ii) holders of at least 10% of the total votes which could be cast.
　　(iii) holders of at least 10% of the paid up amount of shares entitled to vote.
　　(e) If there is no poll the chairman's decision on the show of hands is final.
